Standard Terms and Conditions of Sale

These Standard Terms and Conditions of Sale (“Terms”) govern all quotations, order acknowledgements, sales, invoices, and purchase orders accepted by Renaissance Repair and Supply Ltd. (“Renaissance”).

Acceptance of any Customer purchase order is expressly conditioned upon these Terms. Any additional or conflicting terms contained in Customer documents are rejected unless expressly accepted in writing by Renaissance.

1.  Definitions

“Customer” means the purchaser. “Products” means equipment, parts, accessories, software (if applicable), and repair services sold by Renaissance. “Quotation” means a written offer issued by Renaissance.

2.  Quotations

Quotations are valid for thirty (30) days unless otherwise stated, are subject to product availability, prior sale, and written acceptance. Renaissance reserves the right to correct clerical, typographical, pricing, computational, specification, or similar errors before acceptance or shipment. If a correction materially affects an order, Customer may cancel the affected line item before shipment.

3.  Order Acceptance

Orders are binding only after written acceptance by Renaissance. Renaissance may accept or reject orders in whole or in part.

4.  Pricing

Prices exclude applicable taxes, duties, freight, insurance, transportation, and similar charges unless expressly stated. Pricing is contingent upon current tariff structures. Renaissance may adjust pricing prior to shipment to reflect increases in tariffs, import duties, or governmental fees and will notify Customer before shipment.

5.  Payment

Standard payment terms are Net 30 days upon credit approval, unless otherwise agreed. Renaissance may suspend shipments, warranty service, repair services, or future orders on accounts with past-due balances. Customer shall reimburse reasonable collection costs and attorneys’ fees where permitted by law.

6.  Product Condition

Products may be new, used or refurbished. Products may not include original packaging, documentation, accessories, software media, or kitting materials unless expressly stated.

7.  OEM Software and Legacy Equipment

Embedded OEM software remains subject solely to applicable OEM license terms. Legacy, refurbished, used, and EOL equipment may no longer be eligible for OEM support, firmware updates, security patches, replacement parts, warranties, documentation, or software license transfers. Renaissance does not guarantee the availability of OEM support unless expressly stated in writing.

8.  Delivery

Delivery dates are estimates only and are not guaranteed. Partial shipments are permitted unless otherwise agreed. Quantities are limited and subject to prior sale.

9.  Risk of Loss

Unless otherwise agreed in writing, shipments are FOB Shipping Point. Title and risk of loss transfer to Customer upon delivery to the carrier.

10.  Inspection and Freight Claims

Customer shall inspect shipments within five (5) business days. Visible shortages or shipping damage must be reported promptly to the carrier and Renaissance. Products not timely rejected are deemed accepted.

11.  Warranty

Unless otherwise stated in writing, Renaissance provides a one (1) year functional warranty. Renaissance’s sole obligation under warranty is, at its option, repair, replacement, credit, or refund of the purchase price.

12.  Warranty Exclusions

Warranty excludes failures resulting from misuse, abuse, improper installation, unauthorized modification or repair, accident, operation outside published specifications, incompatibility, consumables, cosmetic condition, and normal wear and tear.

13.  Returns and RMA

Returns require a Renaissance-issued Return Material Authorization (RMA). Discontinued, refurbished, EOL, and special-order items are non-cancelable and non-returnable. Approved returns may be subject to a restocking charge of up to 25% plus freight.

14.  Repair Services

Customer is responsible for backing up and removing all data, passwords, software, licenses, and configuration information before returning equipment. Renaissance is not responsible for loss of data, firmware, software, licenses, or configuration resulting from testing or repair.

15.  Export

Customer is responsible for complying with all applicable export restrictions governing its own use or resale of Products.

16.  Force Majeure

Renaissance is not liable for delays caused by events beyond its reasonable control, including OEM allocation, supplier shortages, transportation interruptions, labor disputes, natural disasters, pandemics, cyber incidents, or governmental actions.

17.  Limitation of Liability

Renaissance shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, revenue, business interruption, or loss of data. Renaissance’s total aggregate liability shall not exceed the amount paid for the affected Products or Services.

18.  Confidentiality

Non-public pricing and commercial information exchanged between the parties shall remain confidential.

19.  Governing Law

These Terms are governed by the laws of Ontario, Canada. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. Venue shall be Ottawa, Ontario.

20.  General

These Terms, together with Renaissance’s quotation and order acknowledgement, constitute the entire agreement. Electronic signatures and electronic communications are binding. If any provision is unenforceable, the remaining provisions remain in effect. Payment obligations, warranty limitations, confidentiality, and limitation of liability survive completion of the transaction.
